Job Description
In this role you will be primarily responsible for drafting and reviewing various types of agreements including but not limited to; Customer and Supplier agreements, Technology/Joint Development agreements, Licensing agreements, and Non-Disclosure agreements. As part of a global team, you will report to the General Counsel & Secretary. Additional Responsibilities:
·Structure, draft, and negotiating commercial agreements tailored to emerging strategies and developing customer relationships.
-Reviewing and negotiating customer contracts.
-Reviewing and negotiating supplier contracts.
-Drafting and negotiating specialty contracts (development projects, marketing projects, licensing schemes, etc.).
·Work closely with the General Counsel & Secretary, other members of the Legal department, business contacts, external attorneys, to foster an environment of teamwork and cooperation
·Handle and advise on various legal matters such as contract negotiations, employment law matters, corporate governance
·Potential to advise on patent matters
·Potential to advise on the global trademark portfolio, including clearance, filing and enforcement
·Litigation management, when required
·Develop and maintain forward-thinking legal risk perspectives to identify and mitigate potential exposures before escalation where possible and quickly develop de-escalation strategies as needed.
-Other matters as they arise: corporate tax arrangements, due diligence for transactions, etc.
·Advise senior leadership on strategic legal perspectives and implementations early in product development, market expansion, and business planning.
Qualifications:
·Law degree and licensed under the Ontario Law Society.
·1-3 years of work as a lawyer in a commercial law setting.
·Experience reviewing agreements such as Customer Agreements, Supplier Agreements Technology Development Agreements, Non-Disclosure Agreements.
·Demonstrated ability to implement legal tools and knowledge systems, such as contract lifecycle management and regulatory tracking, to improve operational efficiency.
·Ability to mentor junior legal staff, work with senior legal staff, and contribute to a general culture of knowledge sharing and team growth.
·Efficient, independent thinker capable of managing complex, multi-stakeholder legal projects under tight timelines.
·Keen communication abilities, such as translating complex legal and regulatory developments into actionable business insights with commercial value, and vice versa.
·Hard worker, while at the same time flexible and a good team player
·Able to adapt to different situations and multi-task
·Undergraduate degree (asset if in Mechanical Engineering)
·Licensed before the Canadian Intellectual Property Office as a patent agent (a strong asset)
·Experience with ESG regulations and programs (a strong asset)
·Experience in M&A, governance, and litigation (a strong asset)
·Takes pride in being “best of class”
·Fluent English is mandatory
·Additional language skills an asset but not required
